These Terms and Conditions constitute a legally binding agreement made between you ("Client") and Baithang Jamatia ("Developer"), governed by the Indian Contract Act, 1872 and the Information Technology Act, 2000.
1. Scope of Work & Vibe Coding Methodology
The Developer provides digital consulting, software development, web development, and automation services. All projects are strictly "Vibe Coded," meaning they are engineered using a highly adaptive, AI-assisted, and intuition-driven development workflow to ensure premium aesthetics and rapid execution. Any electronic communication, including email exchanges, WhatsApp messages, or Slack logs between the Developer and the Client, shall be deemed as official, legally binding written proof of project scope, feature requests, approvals, and agreements under Section 4 of the Information Technology Act, 2000.
2. Intellectual Property & Ownership
The Developer retains absolutely all intellectual property rights, copyrights, and ownership of all code, designs, automations, and assets created until full and final payment is successfully cleared. If the Client defaults on payment, or initiates a chargeback, all licenses to use the delivered work are immediately revoked, and the Client must immediately cease all use of the software.
3. Limitation of Liability (As-Is Clause)
All services, code, and digital products are provided strictly on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied. Under no circumstances shall the Developer be held liable for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data loss, business interruption, or server downtime. In any event, the Developer's total maximum liability to the Client for any claim shall strictly not exceed the total amount paid by the Client for the specific service in dispute.
4. Right to Refuse & Terminate
The Developer reserves the unilateral right to refuse service, suspend work, or completely terminate any ongoing project at any time, for any reason, without prior notice. In the event of termination by the Developer, the Developer shall retain all payments made up to that date for work executed, and no refunds will be issued.
5. Indemnification
The Client agrees to fully indemnify, defend, and hold harmless the Developer from any legal claims, liabilities, damages, or expenses (including attorney's fees) arising from the Client's use of the delivered software, breach of these terms, or any third-party claims related to the Client's business operations.
6. Governing Law & Exclusive Jurisdiction
These Terms shall be exclusively governed by and construed in accordance with the laws of India. Any legal disputes, claims, or controversies arising out of or relating to these terms or any provided services shall be subject to the exclusive jurisdiction of the courts located in Tripura, India. By engaging my services, the Client explicitly waives any right to bring a lawsuit in any other jurisdiction.
